Terms and Conditions of Sale and Delivery of TRACON Handels GmbH

For the Delivery of Components and Devices



1. Scope of Application
The following General Terms and Conditions (hereinafter referred to as “GTC”) form an integral part of all contracts between Tracon Handels GmbH (hereinafter referred to as “Tracon” or the “Supplier”) and customers (the “Buyer”) concerning the delivery of components and devices, individually or in any combination (Goods).
These GTC shall apply exclusively, regardless of whether the parties expressly or tacitly acknowledge them. By placing an order with Tracon, the Buyer accepts these GTC. Tracon shall not be bound by the Buyer’s terms and conditions of business or delivery, or any other terms, in whatever form, that replace or amend these GTC, unless Tracon has explicitly acknowledged them, in whole or in part, by legally valid signature.
Depending on the business transaction, these GTC may be supplemented or replaced by special conditions issued by Tracon.
Amendments and collateral agreements shall only be effective if explicitly confirmed by Tracon in writing.

2. Technical Information
All technical information, data and dimensions are based on the information provided by the respective manufacturers and are for guidance only.
They shall not be deemed binding assurances by Tracon regarding specific properties.
No liability shall be accepted for errors in content, printing or transmission.
If Tracon is the actual manufacturer of the Goods, it shall be liable within the statutory provisions of Swiss law; design changes remain reserved at any time without prior notice or statement of reasons.

3. Prices
All price information is non-binding until confirmed, and adjustments remain reserved at any time without prior notice or statement of reasons.
Unless otherwise agreed and stated, prices are understood to be net prices in Swiss francs (CHF), excluding (without) value-added tax, export duties or customs duties, insurance, permits, notarizations, installation, commissioning, training and application support, transport, packaging and the preparation of export documents, all of which shall be charged separately in addition.

4. Delivery Dates
Delivery dates and deadlines are stated to the best of our knowledge.
They are subject to the Supplier receiving timely delivery from its manufacturers / subcontractors. Only dates confirmed in writing by the Supplier shall be binding.
Such dates shall be extended appropriately.

  • - if information required by the Supplier for execution is not received in good time, or if the Buyer subsequently changes it.
  • - if the Buyer is in arrears with the work to be performed by the Buyer.
  • - if obstacles arise that lie outside the Supplier’s responsibility (force majeure).

Any delay in meeting the delivery date shall not entitle the Buyer to refuse acceptance, to withdraw from the contract immediately and/or to claim damages.
In the event of delivery delays caused by the Supplier, the Buyer may withdraw from the contract only after a reasonable grace period of at least two weeks, set by the Buyer in writing under threat of withdrawal, has expired without result.

5. Purchase Contract
The Buyer’s written order for the Goods constitutes a binding offer to conclude a purchase contract.
Tracon may accept this offer within 10 working days by delivering the Goods or by sending an order confirmation.
The content of the contract is determined by the written/electronic order and/or order confirmation or acceptance of the quotation, together with these GTC.

6. Delivery / Complaints
Deliveries shall be made at the Buyer’s expense and risk, whereby risk passes to the Buyer when the Goods are separated and dispatched. Any differing agreements must be recorded in writing.
The Supplier reserves the right to make reasonable partial deliveries.
The Buyer is responsible for carrying out proper incoming goods and product inspections.
Any incorrect deliveries, quantity deviations or obvious defects must be reported to the Supplier immediately, and no later than within 5 working days after receipt of the Goods.
Further inspection of the Goods by the Buyer is recommended.
The Goods shall be deemed accepted if no notice of defects is given within 30 calendar days after the delivery date or if the Goods are used commercially for more than 20 single-shift working days.
Returns shall only be accepted by prior arrangement.
When delivering specially manufactured goods, the Supplier may deliver up to 10% more or less than the agreed delivery quantity.

7. Payment Terms
The invoice must be paid by the Buyer without any deductions no later than 30 calendar days after the invoice date, unless otherwise agreed and stated.
If this payment deadline is not met, Tracon shall be entitled to charge default interest of 8%.
In addition, the Buyer shall bear all processing fees.
Tracon reserves the right to execute orders from new and existing Buyers against cash on delivery or advance payment.

8. Right of Exchange / Right of Cancellation
Tracon supplies specialist companies / industrial customers and their professional subcontractors.
There is therefore no right of withdrawal or exchange due to dissatisfaction.
At no time shall there be any entitlement to postponement, cancellation, return or chargeback of any kind.
Such rights must be agreed with Tracon in writing in advance.

9. Warranty / Guarantee
Tracon warrants that the Goods are free from material and manufacturing defects in accordance with the quotation or order confirmation. All notices of defects must be made in accordance with Clause 6 of these GTC.
The warranty period for the delivered Goods is based on the warranty period defined by the manufacturer and shall be a maximum of 12 months from the delivery date.
Tracon’s quality labels must be presented without exception. For repairs or service, the warranty period is 3 months for the parts replaced by Tracon and the functions associated with them.
If notice is given in due time, the warranty service shall include replacement (new or exchange goods) or repair of defective Goods or parts thereof.
In “last buy” transactions, compensation shall be limited to the order value of the Goods.
Warranty service shall lapse in the event of improper handling, modifications or other interventions by the Buyer, or in the event of late notice of defects.
Under no circumstances shall Tracon be liable for consequential damage or indirect damage arising from the use or failure of the delivered Goods.
Transport, removal and installation costs shall be borne by the Buyer.
For faultless Goods returned for warranty repair, the Buyer shall bear the costs of Tracon’s expenses.

10. Liability
Liability for slight negligence is excluded.
The Buyer is solely responsible for the proper selection and use of the Goods.
Within the scope of its liability insurance, Tracon shall be liable for further personal injury and property damage demonstrably caused to the Buyer by intentional or grossly negligent fault on the part of the Supplier.
Any further claims for damages, of whatever type and on whatever legal basis, in particular but not exclusively for direct and indirect damage as well as consequential damage caused by defects, such as loss of data, loss of orders, loss of use or lost profit, etc., are excluded.
Any liability for auxiliary persons and subcontractors of the Supplier is excluded.

11. Applicable Law / Place of Jurisdiction
The legal relationship shall be governed by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods.
The exclusive place of jurisdiction shall be the ordinary court at the Supplier’s registered office in Altendorf SZ.
The Buyer hereby expressly waives its ordinary place of jurisdiction.
However, Tracon shall have the right to bring proceedings against the customer at the customer’s place of residence or registered office.

12. Data Protection
Tracon complies with the applicable data protection provisions and uses customer information exclusively to process orders and for its own marketing purposes.
Customer data shall only be passed on to third parties if this is necessary for the performance of the contract or if the customer has given express consent.

13. Customer References or Testimonials
Customers agree that Tracon is entitled to publish customer references or testimonials provided by them on the website.
Tracon reserves the right to edit or remove these references or testimonials if they violate applicable laws or guidelines.
Customers remain the owners of the content provided and grant Tracon a non-exclusive licence to use it for advertising purposes.

14. Severability Clause
Should any provision of these “GTC” be or become invalid / unenforceable, the remaining provisions of these GTC shall remain unaffected.
